5alas Terms & Conditions for Suppliers

These 5alas Terms & Conditions govern the participation of registered Suppliers on the 5alas Platform. Suppliers receive and process orders from Donators via the 5alas Platform and are responsible for the delivery of Goods to registered Mosques. Suppliers will receive the full Order Price once both the Supplier confirms delivery and the Mosque confirms receipt and distribution of the Goods.

1. Definitions

1.1 In these Terms:

• Goods means any items provided by a Supplier for fulfilment of an Order placed through the 5alas Platform.
• Order Confirmation means the electronic confirmation issued by 5alas to a Supplier, detailing the Goods ordered and the Donator’s payment.
• Order Price means the price payable by a Donator for the purchase of Goods from a Supplier for fulfilment of the Order.
• 5alas Fee means the platform fee charged by 5alas to the Donator for using the Platform.
• Funds means the full payment made by the Donator for the Goods, held in trust by 5alas until confirmation of delivery and distribution.
• Distribution Confirmation means the confirmation provided by the Mosque through the 5alas Platform that Goods have been distributed to eligible Recipients.
• Recipient means any individual in need, registered with 5alas, who is eligible to receive Goods distributed by a Mosque.

2. Role of Suppliers

• Suppliers agree to fulfil Orders placed through the 5alas Platform, ensuring that all Goods are delivered to registered Mosques as indicated by the Order Confirmation.
• Suppliers are responsible for notifying 5alas of successful delivery to the Mosque by submitting confirmation through the 5alas Platform.
• Payment of the Order Price to the Supplier will only be processed once both the Supplier has confirmed delivery and the Mosque has confirmed receipt and distribution of the Goods.

3. Goods Fulfilment

• Upon receiving an Order Confirmation, Suppliers must prepare and deliver the Goods to the designated Mosque within the agreed timeframe.
• Suppliers must comply with any special handling or delivery requirements specified in the Order Confirmation.
• Suppliers must ensure that all Goods supplied comply with applicable legal, health, and safety standards, and, where relevant, halal certification or other religious compliance requirements.
• Suppliers acknowledge that payment will not be made until the Mosque has provided Distribution Confirmation through the 5alas Platform.
• Suppliers must retain delivery records, invoices, and proof of supply for a minimum of 12 months and provide such evidence to 5alas upon request for audit or compliance purposes.

4. Payment

• The Order Price (full amount paid by the Donator) will be held in trust by 5alas and released to the Supplier only after both delivery and distribution of Goods have been confirmed.
• Suppliers are entitled to the full Order Price paid by the Donator. No deductions will be made by 5alas, other than the 5alas Fee which is charged separately to the Donator.
• If the Mosque fails to confirm receipt or distribution within a reasonable period, 5alas will work with both the Supplier and the Mosque to resolve the issue and ensure proper payment.
• Suppliers acknowledge that payment may be delayed if either the Supplier or the Mosque fails to provide timely confirmations through the 5alas Platform. 5alas shall not be liable for such delays.
• Donators may elect to add a 7.5% donation to support Mosques. This donation is separate from the Order Price and does not reduce the amount payable to the Supplier.

5. General Terms

• Suppliers must ensure that Goods delivered to the Mosque match the description and quality set out in the Order Confirmation.
• If Goods are delayed, unavailable, or substituted, Suppliers must notify 5alas immediately. 5alas will inform the Donator and Mosque of any changes.
• Any variations to Orders or delivery terms must be agreed in writing with 5alas.
• Suppliers may process limited Donator or Mosque personal data (such as names, contact details, and delivery addresses) solely for fulfilling Orders. Suppliers agree to handle such data in compliance with applicable data protection laws and the 5alas Privacy Policy. Personal data must not be used for any other purpose.

6. Liability and Indemnity

• Suppliers acknowledge that 5alas acts solely as a facilitator and assumes no liability for Goods once they are in the possession of the Mosque.
• Suppliers agree to indemnify and hold harmless 5alas, its affiliates, and agents against any claims, liabilities, or damages arising from the Goods or the Supplier’s failure to deliver or comply with these Terms.
• 5alas will not be responsible for any delays, damages, or losses incurred by the Supplier. Suppliers agree that their sole recourse for disputes over Goods lies with the Donator (regarding quality) or the Mosque (regarding acceptance), as applicable.

7. Termination

• 5alas may terminate a Supplier’s participation in the Platform at any time if the Supplier fails to comply with these Terms and Conditions or engages in prohibited conduct.
• In the event of termination, 5alas may withhold any unpaid amounts related to undelivered or improperly delivered Goods.

8. Governing Law and Jurisdiction

• These Terms and Conditions are governed by and construed in accordance with English law.
• The courts of England shall have exclusive jurisdiction to adjudicate any dispute arising out of or in connection with these Terms and Conditions.
